As announced on 27 April 2022 ("27 April 2022 Notification"), "On 25 April 2022, as part of a restructuring of Asia Pacific Realty Holdings Ltd ("APRH"), Mr. Chu Weng Kiong Marcus ("Mr. Marcus Chu") entered into a share redemption letter with APRH, Canopus Realty Ltd and APAC Realty 2 pursuant to which Mr. Marcus Chu received 2,676,569 ordinary shares in APAC Realty Limited from APRH on 26 April 2022, as part of the consideration for the redemption of a portion of the Class B shares which Mr. Marcus Chu held in APAC Realty 2."

As part of the same 27 April 2022 Notification, it was announced that, "On 25 April 2022, Mr. Marcus Chu ... entered into a deed of share subscription with NHPEA Asia Realty Holding (HK) Limited and NHPEA Ace Realty Company Limited (the "Offeror") pursuant to which Mr. Marcus Chu ... will subscribe for non-voting, ordinary shares in the Offeror in consideration for [the] transfer of 2,676,569 ordinary shares ... in APAC Realty Limited to the Offeror. The aforementioned transaction was completed on 26 April 2022. Upon such completion, Mr. Marcus Chu ... do[es] not hold any direct interest in the ordinary shares in APAC Realty Limited, and only hold a minority stake in the Offeror." ("Rollover").

The 21 August 2023 Notification did not reflect the Rollover. Hence, this replacement Form 1 is issued to reflect the Rollover and to clarify the 21 August 2023 Notification. As reflected in this replacement Form 1, prior to the grant of share award to Chu Weng Kiong Marcus ("Mr. Marcus Chu"), Mr. Marcus Chu has no direct interest in the shares of APAC Realty Limited.

LLC ("MSCO") and give these entities a right-to-use these Shares. Under the relevant prime brokerage agreements with their clients, the EPT Entities may from time to time use the ROU Shares, including to settle trades entered into by such entities, subject to an obligation to return an equivalent number of securities to the clients. From time to time, clients may also deposit additional securities into or withdraw securities from the pool of ROU Shares.
